Terms of Service

These terms apply to Strata9 Rentals at strata9.rentals ("the service"), run by Strata9 Inc., a Texas corporation at 1500 S Dairy Ashford Rd, Suite 207, Houston, TX 77077 ("Strata9", "we"). By using Strata9 Rentals you agree to them. These terms apply on strata9.rentals. The Strata9 Exchange terms apply on strata9.exchange.

1. What Strata9 Rentals is

Strata9 Rentals is a place where Gulf Coast rental companies post equipment and buyers send requests to them.

• Strata9 is not a rental company, broker or agent, and is not a party to any rental.
• Strata9 does not own, inspect, deliver, insure or guarantee any equipment.
• Prices, delivery, payment, insurance, inspection and return terms are agreed between the buyer and the rental company.

2. Accounts

• You must be at least 18 and able to enter a binding contract.
• Keep your account details accurate. You are responsible for your password and for everything done with your account.
• Tell us promptly at support@strata9.rentals if your account is used without your permission.
• One account works for Strata9 Rentals and Strata9 Exchange.

3. For buyers

• Strata9 Rentals is free for buyers. Strata9 charges no commission on rentals.
• When you send a request, the companies you send it to receive your name, company, phone, email, the items you asked for, your dates, location details and notes.
• Availability, rates, quantities, certifications and photos are posted by each company. Confirm terms with the company before you order.
• A hold is set by the company and lasts for the time shown.
• You can mark a sent request as filled or cancel it. A sent request cannot be edited or deleted.

4. For rental companies

• Listing is free for six months from sign-up during early beta. Strata9 charges no commission. Strata9 will give notice before any charge begins, and you can decide then whether to continue.
• Strata9 reviews every company before it shows on Strata9 Rentals and may confirm details by phone. Strata9 may decline, hide or remove a company or listing.
• Some company pages are created by Strata9 from publicly available information before the company joins. A company can claim its page. Strata9 confirms that the person claiming it works for the company.
• You must be authorized to act for the company. Everything you post must be accurate, current and lawful.
• Mark equipment available only when it is available. Certifications and inspection dates are your statements; Strata9 does not verify them.
• A hold you place is your commitment to that buyer for the time shown.
• Use a buyer's contact details only to respond to that buyer's request.

5. Your content

You keep ownership of what you post, including photos. You give Strata9 a non-exclusive, royalty-free license to host, display, resize and share that content to run Strata9 Rentals, for as long as it is posted and a reasonable time after. You confirm you have the rights to everything you upload.

6. Our intellectual property

Strata9 Rentals, including its software, design and text, and the Strata9 name and marks, belong to Strata9 Inc. We give you a limited, non-exclusive, non-transferable, revocable license to use Strata9 Rentals for its intended purpose under these terms.

7. Acceptable use

Do not:

• post false, misleading or unlawful listings, availability or requests;
• pretend to be another person or company;
• copy, scrape or collect listings or contact details in bulk;
• send spam or use anyone's contact details for anything other than the rental they asked about;
• interfere with the security or operation of the site.

Strata9 may suspend or close accounts that break these terms.

8. Third-party services

Strata9 Rentals uses and links to services run by others, such as maps, hosting and email. Their own terms apply to them, and Strata9 is not responsible for them.

9. Beta features

Strata9 Rentals is in early beta. Features may change or be removed, and Strata9 does not promise that any planned feature will be released.

10. Safety and compliance

Buyers and rental companies are each responsible for the safe transport, rigging, use and return of equipment, and for following the law and any operator, site or offshore requirements.

11. Disclaimers

Strata9 Rentals is provided "as is" and "as available". To the extent the law allows, Strata9 disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, non-infringement and accuracy, and any warranty that the service will be uninterrupted, error-free or secure. Strata9 does not guarantee that any listing, availability, rate, certification or photo is accurate or current, or that any company or buyer will complete a rental. Maps, locations and distances are approximate.

12. Limits on liability

To the extent the law allows, Strata9 Inc. and its officers, employees, and suppliers are not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Their total liability for any claim is limited to the greater of what you paid Strata9 for Strata9 Rentals in the 12 months before the claim, or $100.

13. Indemnity

You agree to defend, indemnify and hold harmless Strata9 Inc. and its officers, employees, and suppliers from any claims, losses and costs, including reasonable attorneys' fees, arising from your use of Strata9 Rentals, your content, your rentals or your breach of these terms.

14. Disputes and governing law

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules.

Informal resolution first

Most concerns can be resolved quickly. Before starting a formal proceeding, you agree to contact us at legal@strata9.exchange and give us 30 days to try to resolve the matter informally.

Binding arbitration

If we cannot resolve a dispute informally, you and Strata9 Inc. agree that any dispute, claim, or controversy arising out of or relating to these terms or the service will be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court, except as stated below. The arbitration will take place in Harris County, Texas, or by telephone or video where available, and judgment on the award may be entered in any court having jurisdiction. The arbitrator decides all issues, except that a court decides whether the class-action waiver below is enforceable.

Class-action waiver

You and Strata9 Inc. agree to bring claims against each other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims or otherwise preside over any form of a representative or class proceeding.

Exceptions and opt-out

Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in court to protect its intellectual property or confidential information. You may opt out of this arbitration agreement by emailing legal@strata9.exchange within 30 days of first accepting these terms. If you opt out, or for any dispute not subject to arbitration, the exclusive venue will be the state and federal courts located in Harris County, Texas.

15. Changes and ending use

Strata9 may update these terms. The date above changes when it does, and material changes come with additional notice. Using Strata9 Rentals after a change means you accept it. You can stop using Strata9 Rentals at any time.

16. General

If any part of these terms is found unenforceable, the rest stays in effect, and these terms, together with the Privacy Policy, are the entire agreement between you and Strata9 about Strata9 Rentals.
